Terms governing the use of ivyLABS services and website.

1. Acceptance of Terms
By accessing or using the services provided by ivyLABS, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you should not use our services or website. These terms apply to all visitors, clients, and users of our services.
2. Services
ivyLABS provides brand development, digital design, web and application development, growth systems, and related consulting services. The scope, deliverables, and timelines for each project are defined in individual project proposals or agreements. We reserve the right to:
- Modify or discontinue services with reasonable notice
- Refuse service to anyone for any reason
- Set limitations on service usage
3. Client Obligations
As a client, you agree to:
- Provide accurate and complete information necessary for project delivery
- Respond to communication and feedback requests in a timely manner
- Ensure that materials provided to us do not infringe third-party rights
- Not use our services for unlawful purposes
- Comply with all applicable laws and regulations
4. Payment Terms
Payment terms are outlined in individual project proposals. General terms include:
- A non-refundable advance payment is required before project commencement
- Milestone payments are due as specified in the project agreement
- Late payments may incur additional charges or project suspension
- All prices are in Indian Rupees (INR) unless otherwise specified
- Applicable taxes (GST) will be charged as per Indian tax law
5. Intellectual Property
Upon full payment, the client receives ownership of the final deliverables as specified in the project agreement. ivyLABS retains the right to:
- Showcase completed work in our portfolio (unless a non-disclosure agreement is in place)
- Retain ownership of proprietary tools, frameworks, and processes used during delivery
- Use general knowledge and techniques gained during the project
Work-in-progress materials remain the property of ivyLABS until final payment is received.
6. Limitation of Liability
ivyLABS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim. We are not responsible for delays or failures caused by circumstances beyond our reasonable control.
7. Termination
Either party may terminate the engagement with written notice as specified in the project agreement. Upon termination:
- The client is responsible for payment for work completed up to the termination date
- ivyLABS will deliver all completed work for which payment has been received
- Confidentiality obligations survive termination
8. Governing Law
These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in India.
9. Changes to Terms
ivyLABS reserves the right to update these terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
